This is the whole of what you agree to when you spin, in addition to the IPMS Platform License Terms. It does not change after the spin.
Your named price applies to the first year of a 36-month contract. It can never exceed the listed price of $759.00/month, and no plan is ever priced below the listed price less 10% ($683.10/month for Athena). The wheel offers 40 rates inside that band; you receive the lower of your named price and the rate the wheel lands on.
Decide before you play: pay year one in full on the day of signing and a further 10 points come off the listed price, on top of the wheel — up to 20% off in total. Years two and three are billed at the listed price with the standing 10% annual discount if you keep paying annually.
The result of the spin is final and binding on both parties the moment the server records it, before the wheel finishes turning. It cannot be cancelled, re-spun, or exited. Refreshing or closing the page changes nothing: reopening your link shows the same locked price, and your card is charged that exact price.
To participate, a valid credit or debit card and a bank account (ACH) must both be on file and verified before the wheel will arm. The card is the primary payment method. If the card cannot be charged for any reason — expired, cancelled, declined, or limit reached — the bank account is debited for the same amount without further notice.
The contract begins on the calendar day you spin, in your practice's time zone, and runs 36 months. It renews for a further 36 months unless written notice of cancellation is received at least 3 months before the end of the term.
The infrastructure build-out and provisioning fee of $9,500 for Athena is waived in reliance on the full term. If the contract is cancelled within the 36 months, or the term ends without the 3-month notice having been given, the entire provisioning fee plus applicable taxes becomes due and is charged to the card, or to the bank account if the card fails.
Any delay in provisioning your environment that is not caused by your practice extends the contracted term of use by the same number of days, at no charge.
Name Your Own Price applies to the first-year bill only. The e-prescribing allowance, seats, add-ons, license terms, arbitration and chargeback provisions of the IPMS Platform License Terms apply unchanged.
